1. Definitions
In these Terms and Conditions, the following terms have the meanings set out below:
- "Agreement" means these Terms and Conditions together with any written service proposal or engagement letter.
- "Sundara", "we", "us", "our" means the hospitality consulting practice operating under the name Sundara, based at 71 Beach Road, Bo Phut, Ko Samui, Surat Thani 84320, Thailand.
- "Client", "you", "your" means the business or individual who engages or enquires about Sundara's services.
- "Services" means the consulting, advisory, and operational guidance offerings described on this website.
- "Website" means the website operated by Sundara at sundarathx.info.
- "Content" means all written materials, frameworks, session notes, guidelines, and other outputs produced in the course of providing Services.
2. Acceptance of Terms
By accessing our Website or submitting an enquiry, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
You confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement on behalf of yourself or the business you represent.
If you do not agree with any part of these Terms, please do not use our Website or engage our Services.
3. Description of Services
Sundara provides professional consulting services in the field of tourism and hospitality, including:
- Guest Experience Session — a structured working session reviewing the guest journey at your property, resulting in a written journey summary and improvement list.
- Hospitality Operations Project — a collaborative engagement to document and refine front-of-house and back-of-house routines, resulting in process guidelines and a training outline.
- Hospitality Business Advisory — an ongoing advisory relationship providing regular sessions and written notes on operational and commercial matters relevant to your hospitality business.
All Services are provided as professional consulting and general operational guidance. They do not constitute legal, financial, accounting, or medical advice.
Services are primarily offered to businesses operating within Thailand. Engagements with clients outside Thailand are considered on a case-by-case basis.
4. Client Responsibilities
In engaging our Services, you agree to:
- Provide accurate and complete information about your business and operations as requested.
- Make relevant team members and premises available as agreed for sessions or site visits.
- Use any materials or outputs provided for legitimate, lawful business purposes only.
- Refrain from sharing session materials with competing businesses without prior written agreement.
- Engage in a constructive and respectful manner with our team throughout the engagement.
You are solely responsible for implementing any recommendations or guidance provided. Sundara does not manage operations on behalf of clients.
5. Intellectual Property
All frameworks, methodologies, templates, and general approaches used by Sundara in delivering Services remain the intellectual property of Sundara.
Session outputs, summaries, process documents, and written notes produced specifically for your engagement are provided for your internal business use. You may not reproduce, resell, or distribute these materials to third parties without our written consent.
All content on the Website — including text, structure, and design — is owned by or licensed to Sundara. You may not copy or reproduce Website content without permission.
6. Fees and Payment
Service fees are stated in Thai Baht (฿) and are as follows at the time of publication:
- Guest Experience Session: ฿4,000
- Hospitality Operations Project: ฿20,000
- Hospitality Business Advisory: ฿33,500 per month
Fees are subject to change. The fee applicable to your engagement will be confirmed in writing before work commences.
Payment terms, accepted methods, and any deposit requirements will be set out in the engagement proposal. Overdue amounts may incur an administrative charge as stated in the proposal.
Refund arrangements are agreed in writing at the time of engagement. Deposits paid for sessions or projects are non-refundable once preparatory work has commenced, unless Sundara is unable to deliver the agreed Services.
7. Service Delivery Terms
The scope, timeline, and deliverables for each engagement will be confirmed in writing before work begins. Any material changes to scope requested after agreement may affect timelines or fees and will be discussed openly.
For ongoing advisory engagements, either party may end the arrangement with reasonable written notice as agreed in the engagement letter.
Sundara will make reasonable efforts to meet agreed timelines. We are not liable for delays caused by circumstances outside our reasonable control, including disruption to travel, extreme weather, or other force majeure events.
8. Confidentiality
Both parties agree to treat as confidential any non-public business information shared during an engagement. Sundara will not disclose information about your business to third parties other than as necessary to deliver the Services or as required by law.
General insights about hospitality industry practices — not specific to your business — remain part of Sundara's general knowledge and may inform future work with other clients.
9. Disclaimers
Our Services are provided as professional consulting and advisory support. We share observations, structured thinking, and general operational guidance based on our experience in the hospitality sector.
We do not make representations about outcomes for your specific business. Every property and market situation is different, and the effectiveness of any approach depends on how it is implemented by your team.
Nothing in our Services constitutes legal, financial, tax, or regulatory advice. For matters requiring specialist professional advice, we recommend engaging the appropriate licensed professional.
The Website is provided on an "as available" basis. We do not warrant that it will be uninterrupted or error-free.
10. Limitation of Liability
To the fullest extent permitted by applicable law, Sundara's total liability to you arising from or in connection with any engagement shall not exceed the fees paid by you in the three months prior to the relevant claim.
We shall not be liable for any indirect, consequential, or special losses including loss of revenue, loss of opportunity, or loss of anticipated savings, even where we were made aware of the possibility of such losses.
Nothing in these Terms limits liability for fraud, personal injury caused by negligence, or any other liability that cannot be excluded under Thai law.
11. Indemnification
You agree to indemnify and hold harmless Sundara, its principals, and associates from any claims, damages, or expenses arising from your use of the Services or Website in a manner that breaches these Terms or infringes the rights of a third party.
12. Termination
Either party may discontinue an engagement in accordance with the notice provisions set out in the engagement proposal. Where no such provisions exist, reasonable notice in writing is expected.
Sundara reserves the right to decline or discontinue services where a client acts in a way that is abusive, unlawful, or fundamentally inconsistent with the agreed scope.
Upon termination, each party will return or securely destroy confidential materials of the other party as appropriate. Payment obligations for work already completed survive termination.
13. Dispute Resolution
These Terms and any engagement between the parties are governed by the laws of the Kingdom of Thailand. The courts of Thailand shall have exclusive jurisdiction over any dispute arising from or related to these Terms.
Before initiating any formal proceedings, both parties agree to make a genuine effort to resolve disputes through direct discussion and, if needed, mediation.
14. General Provisions
Entire agreement: these Terms, together with any written engagement proposal, form the entire agreement between the parties and supersede prior discussions.
Severability: if any provision of these Terms is found to be unenforceable, the remaining provisions continue in full effect.
Waiver: failure to enforce any provision does not constitute a waiver of the right to enforce it in future.
Assignment: you may not assign your rights under these Terms without our prior written consent. Sundara may assign its obligations to a successor entity without your consent.
Notices: formal notices between parties should be sent in writing to the address or email on record.
15. Changes to These Terms
We may update these Terms from time to time. The revised version will be published on this page with an updated effective date. Continued use of our Website or engagement of our Services after a change constitutes your acceptance of the revised Terms.
